1. Introduction

Welcome to Zaplet AI.

These Terms & Conditions (“Terms”) govern your access to and use of Zaplet AI’s website, Shopify application, dashboard, APIs, integrations, and related services (collectively, the “Services”).

By accessing or using Zaplet AI, you agree to be legally bound by these Terms. If you do not agree, you must discontinue use immediately.

2. Acceptance of Terms

These Terms constitute a legally binding agreement between:

  • You (individually or on behalf of an entity), and
  • Zaplet AI (“Zaplet”, “we”, “us”, or “our”).

By using our Services, you confirm that:

  • You have read and understood these Terms.
  • You agree to comply with them.
  • You are legally capable of entering into a binding agreement.

We reserve the right to update these Terms at any time. Continued use of the Services after updates constitutes acceptance of the revised Terms.

3. Eligibility

To use Zaplet AI:

  • You must be at least 18 years old.
  • You must operate a legitimate Shopify store or business.
  • You must comply with WhatsApp (Meta) Business policies.

We reserve the right to suspend accounts that do not meet eligibility requirements.

4. Account Registration

To access Zaplet AI, you must create an account.

You agree to:

  • Provide accurate and complete information.
  • Maintain the security of your account credentials.
  • Be responsible for all activity under your account.

You must immediately notify us at support@zaplet.ai of any unauthorized access.

We may require additional security measures such as two-factor authentication (2FA).

5. Use of Services

Zaplet AI provides WhatsApp automation tools for Shopify stores, including:

  • Broadcast messaging
  • Abandoned cart recovery
  • Order updates
  • AI-powered customer support
  • WhatsApp Business API integration

You agree to use Zaplet AI:

  • Only for lawful business purposes.
  • In compliance with Meta’s WhatsApp Business Policy.
  • In compliance with Shopify’s policies.
  • In compliance with applicable data protection laws.

6. Prohibited Activities

You may not use Zaplet AI to:

  • Send spam or unsolicited bulk messages without user consent.
  • Violate WhatsApp (Meta) messaging rules.
  • Transmit illegal, abusive, harmful, or deceptive content.
  • Infringe intellectual property rights.
  • Attempt to reverse engineer or replicate Zaplet AI.
  • Interfere with platform security.
  • Use automation tools to abuse WhatsApp infrastructure.

Violation may result in immediate suspension or termination without notice.

7. Fees & Payments

Zaplet AI offers:

  • A 7-day free trial.
  • Paid subscription plans.
  • Usage-based WhatsApp charges (as determined by Meta).

By subscribing, you agree:

  • To pay all applicable subscription fees.
  • To pay Meta WhatsApp conversation charges.
  • That pricing may change with notice.
  • That all payments are non-refundable.

Payments may be processed via approved payment providers. Failure to pay may result in suspension.

8. Free Trial

Zaplet AI provides a 7-day free trial.

  • Users may cancel during the trial without charge.
  • After the trial, subscription fees apply.
  • Continuing after trial indicates acceptance of paid terms.

9. No Refund Policy

All payments are non-refundable, including:

  • Subscription fees
  • WhatsApp conversation charges
  • Add-ons
  • One-time setup fees
  • Custom chatbot development
  • Third-party integrations

Refunds may only be considered in cases of verified unauthorized charges.

10. WhatsApp & Meta Compliance

Zaplet AI uses the official WhatsApp Business API.

You acknowledge that:

  • WhatsApp message pricing is set by Meta.
  • Meta may suspend your WhatsApp number.
  • Zaplet AI is not responsible for bans caused by policy violations.
  • You are responsible for obtaining customer opt-ins.

We do not control Meta’s policies or enforcement decisions.

11. Shopify Integration

Zaplet AI integrates with Shopify.

You acknowledge that:

  • Shopify may modify its API or policies.
  • Zaplet AI is not liable for Shopify disruptions.
  • You are responsible for complying with Shopify’s terms.

12. User Content

You retain ownership of your content (messages, templates, customer data).

However, you grant Zaplet AI a limited license to:

  • Process your data
  • Deliver WhatsApp messages
  • Operate the platform

We do not claim ownership of your business content.

13. Intellectual Property

All Zaplet AI software, branding, design, code, and systems remain the exclusive property of Zaplet AI.

You may not:

  • Copy or replicate the platform.
  • Reverse engineer.
  • Use our branding without permission.

14. Data & Privacy

We process data in accordance with our Privacy Policy.

By using Zaplet AI, you consent to data processing necessary to operate the Services.

You are responsible for:

  • Collecting customer consent.
  • Ensuring lawful data collection.

15. Third-Party Services

Zaplet AI integrates with:

  • WhatsApp (Meta)
  • Shopify
  • Payment processors
  • Other APIs

We are not responsible for:

  • Downtime
  • Policy changes
  • Third-party outages
  • Third-party pricing changes

16. Limitation of Liability

To the maximum extent permitted by law, Zaplet AI shall not be liable for:

  • Indirect or consequential damages
  • Loss of revenue
  • Loss of data
  • WhatsApp account bans
  • Business interruption

Our total liability shall not exceed the amount paid by you in the previous 3 months.

17. Indemnification

You agree to indemnify and hold Zaplet AI harmless from any claims arising from:

  • Your misuse of the platform
  • Your violation of WhatsApp policies
  • Your violation of Shopify policies
  • Your violation of applicable laws

18. Termination

We may suspend or terminate your account at any time if:

  • You violate these Terms
  • You misuse WhatsApp
  • You fail to pay fees
  • You engage in fraudulent or harmful activity

Upon termination, access will cease immediately.

19. Governing Law

These Terms shall be governed by the laws applicable in the jurisdiction where Zaplet AI operates.

Any disputes shall be resolved through binding arbitration or competent courts in the applicable jurisdiction.

20. Severability

If any provision is found invalid, the remaining provisions remain enforceable.

21. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Zaplet AI.
